Interpretation and Definitions

Interpretation

Words with initial capital letters have meanings defined under the following conditions. These definitions shall have the same meaning regardless of whether they appear in singular or plural form.

Definitions

For the purposes of these Terms and Conditions:

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interests, or other securities entitled to vote for the election of directors or other managing authority.
  • Country refers to: Malaysia.
  • Company (referred to as “Company”, “We”, “Us”, or “Our” in this Agreement) refers to Edocpos Sdn.Bhd (Registration Number: 202101017564), Lot 1 & 2, 1st Floor, Block P, One Avenue, 9, Bandar Utama, 90000 Sandakan, Sabah, Malaysia.
  • Device means any device that can access the Service, such as a computer, cellphone, or digital tablet.
  • Service refers to all products and services we provide through the Website, including but not limited to: Digital Products (downloadable content, software licenses, templates, electronic documents, cybersecurity tools), Professional Services (website development, cybersecurity audits, IT consulting, software customization), Subscription Services (monthly/annual support retainers), as well as related information, features, and content.
  • Digital Products means any downloadable content, software licenses, templates, electronic documents, cybersecurity tools, or intangible assets delivered electronically.
  • Professional Services means custom development, consulting, auditing, support retainers, or any time-based work performed by our team.
  • Terms and Conditions (also referred to as “Terms”) means these Terms and Conditions that constitute the entire agreement between you and the Company regarding the use of the Service.
  • Website refers to the Edocpos Official Website (domain to be confirmed).
  • You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement between you and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on your acceptance and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms and Conditions. If you disagree with any part of these Terms and Conditions, you may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on your acceptance and compliance with the Company’s Privacy Policy and Refund Policy. Please read these policies carefully before using our Service.

Account Registration

To use certain features of our Service, you may be required to create an account. You agree to provide accurate, complete, and current information during the registration process. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to protect your login credentials.

Payment Terms

Payment for all Services must be made through the payment methods specified on our website. Payment processing is handled by third-party payment gateways, and we do not store full credit card information.

  • Pricing: All prices are displayed in Malaysian Ringgit (MYR) and do not include any applicable taxes. We reserve the right to change prices at any time, but price changes will not affect confirmed orders.
  • Invoices: Invoices for Professional Services and Subscriptions will be sent via email. Invoices are due within 14 days of the invoice date, unless otherwise agreed in writing.
  • Late Payment: Overdue invoices will incur a late fee of 1.5% per month, or the highest interest rate permitted by law (whichever is lower). We reserve the right to suspend or terminate Services if payment is overdue by more than 30 days.
  • Invoice Disputes: If you dispute an invoice, you must notify us in writing within 7 days of receiving the invoice; otherwise, the invoice will be deemed accepted.

Prohibited User Conduct

You agree not to do the following when using the Service:

  • Violate any applicable laws or regulations (including Malaysian laws and export control laws).
  • Infringe upon the intellectual property rights, privacy rights, publicity rights, or other proprietary rights of others.
  • Reverse engineer, decompile, disassemble, crack, or attempt to discover the source code of our software or Service.
  • Copy, modify, create derivative works, distribute, license, lease, sell, resell, or transfer the Service or any part thereof in any way.
  • Use the Service to transmit any viruses, worms, Trojan horses, time bombs, or other harmful components.
  • Interfere with or disrupt the integrity or performance of the Service or the servers or networks connected to the Service.
  • Attempt to gain unauthorized access to the Service or related systems through any means (including web crawlers, robots, data scraping tools).
  • Use the Service to send unsolicited marketing messages (spam).
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
  • Use the Service in a manner that could damage, disable, overload, or impair the Service.

Intellectual Property

The Service and its original content (excluding content provided by you or other users), features, and functionality will remain the exclusive property of the Company and its licensors. The Service is protected by Malaysian and international copyright, trademark, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without the Company’s prior written consent.

The Company grants you a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes, provided that you comply with these Terms.

Your Submissions

If you submit any content to the Service (e.g., via contact forms, support tickets), you grant the Company a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and distribute such content in order to provide the Service to you. You represent and warrant that you have all rights necessary to grant this license.

Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly encourage you to read the Terms and Conditions and Privacy Policy of any third-party website or service you visit.

Termination

We may terminate or suspend your account and/or access to the Service for the following reasons:

  • You violate any provision of these Terms and Conditions;
  • You fail to pay any amounts due on time;
  • You engage in any conduct that damages our reputation or violates applicable law;
  • We decide to discontinue all or part of the Service.

If termination occurs due to your breach, any fees already paid are non-refundable, and you remain liable for all fees incurred prior to termination. You may terminate your account at any time by notifying us in writing; such termination will not entitle you to any refund of fees already paid (unless otherwise required by law). Upon termination, your right to use the Service will cease immediately, and we may delete any data stored in your account.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • For Digital Products, the Company’s total liability to you shall not exceed the amount you paid for that specific Digital Product.
  • For Professional Services and Subscriptions, the Company’s total liability to you shall not exceed the amount you paid for the specific Service giving rise to the claim in the preceding 12 months, or RM 500 (whichever is higher).
  • For Services provided free of charge, the Company shall have no liability to you whatsoever.

In no event shall the Company be liable for any special, incidental, indirect, or consequential damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, even if the Company has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided to you “AS IS” and “AS AVAILABLE” with all faults and defects without warranty of any kind. To the maximum extent permitted by applicable law, the Company expressly disclaims all warranties with respect to the Service, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The Company makes no warranty that the Service will meet your requirements, operate uninterrupted, be error-free, secure, or free of viruses or other harmful components. You assume the entire risk arising out of your use of the Service.

Indemnification

You agree to indemnify and hold harmless the Company and its Affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) your use of the Service;
(b) your violation of these Terms;
(c) your violation of any third-party rights; or (d) any content you submit.

Force Majeure

We shall not be liable for any delay or failure to perform obligations caused by reasons beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, governmental actions, natural disasters, fires, floods, epidemics, cyberattacks, or power or telecommunications failures.

Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of Malaysia, excluding its conflict of law rules. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Sabah, Malaysia.

Dispute Resolution

If you have any concern or dispute about the Service, you agree to first attempt to resolve the dispute informally by contacting the Company. If the dispute cannot be resolved informally within 30 days, either party may submit the dispute to the courts of Sabah, Malaysia, which shall have exclusive jurisdiction.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified and interpreted to achieve its objectives to the maximum extent permitted by applicable law, and the remaining provisions shall continue in full force and effect.

Waiver

Except as otherwise provided herein, the failure to exercise a right or require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter, nor shall a waiver of a breach constitute a waiver of any subsequent breach.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior or contemporaneous written or oral agreements, communications, and proposals.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days notice prior to any new terms taking effect, via email or a prominent notice on our website. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after such revisions become effective, you agree to be bound by the revised terms.
